This document outlines the core terms and conditions for partnership with AfyaDepo. Note the updated fulfillment model.
1. Vendor Requirements
Vendors must comply with the following mandatory conditions prior to and throughout their partnership with AfyaDepo:
- Legal Status: Vendors must be legally constituted businesses or licensed healthcare suppliers operating within the country.
- Data Accuracy: All company, license, and product information provided to the platform must be accurate, complete, and verifiable.
- Regulatory Compliance: Strict adherence to all regulations set by the Tanzania Medicines and Medical Devices Authority (TMDA) and other relevant national trade laws is mandatory.
2. Vendor Responsibilities (Operations & Quality)
Vendors agree to undertake the following operational duties:
- Product Integrity: Guarantee the listing of only genuine, registered, and safe pharmaceutical or healthcare products.
- Inventory Management: Maintain accurate, real-time updates for product stock levels and pricing.
- Order Fulfillment: Ensure the timely and efficient delivery of goods to the designated AfyaDepo fulfillment hub.
- Customer Service: Professionally manage and resolve all product quality or customer satisfaction inquiries.
- Financial Obligation: Promptly pay all applicable platform fees and commissions as detailed in the AfyaDepo Vendor Policy.
3. AfyaDepo Platform Role
AfyaDepo provides a verified digital marketplace and commits to the following:
- The platform connects vendors directly with healthcare facilities, pharmacies, and individual consumers.
- AfyaDepo reserves the right to promote vendor products through its platform and marketing channels.
- AfyaDepo is responsible for the final fulfillment and delivery of orders from its hub to the end user.
- The platform may suspend or remove vendor listings or access immediately for any violation of policy or regulatory standards.
4. Financial Terms (Payments)
- AfyaDepo manages the collection of all customer payments on behalf of the vendor.
- Funds will be remitted to the vendor upon confirmed order fulfillment, less the agreed commissions or service fees.
5. Mandatory Licensing & Verification
All vendors are required to submit valid copies of the following documents for verification:
- Business License and TIN Certificate.
- TMDA registration or equivalent governmental authorization for all listed products.
Vendor access is contingent upon successful submission and verification of these documents.
6. Termination
- By AfyaDepo: The platform may immediately terminate vendor access for acts of noncompliance, fraud, or the sale of unauthorized products.
- By Vendor: Vendors may terminate their participation at any time by providing formal written notice.
7. Governing Law and Acceptance
This Agreement is governed by and shall be interpreted in accordance with the laws of the United Republic of Tanzania.
Electronic confirmation or signature signifies the vendor’s understanding and unconditional acceptance of all terms outlined herein.
